These General Terms and Conditions shall form part of all special agreements that apply or are concluded in connection with the services or products offered by MN IT Services LLC. However, in the event of a conflict, the provisions of such special agreement shall prevail.
MN IT Services LLC is the operator of the LOCK brand and the https://lock.space/ website. The services advertised on the LOCK website are operated by MN IT Services LLC.
By accessing and using the Website, MN IT Services LLC’s Service via Wallets such as the Jelly Wallet, DFX Wallet or other Wallets, and by downloading information, data and documents from the Website or by using MN IT Services LLC’s Service, Customers acknowledge that they have read, understood and accepted the Terms and Conditions. The Terms and Conditions must be agreed to and accepted BEFORE using the MN IT Services LLC Service. In addition, they accept that MN IT Services LLC may change the Terms and Conditions at any time. Changes to the Terms and Conditions are accepted no later than when the Customer initiates the next transaction.
Jurisdictions & Local Restrictions
With respect to all proceedings, the genuine customer irrevocably agrees to MN IT Services LLC:
- That it agrees that the courts of Saint Vincent and the Grenadines shall have exclusive jurisdiction to decide any Proceedings,
- to submit to the jurisdiction of the courts of St. Vincent and the Grenadines,
- waive any objection that the bona fide customer may at any time have to the institution of proceedings in any such court,
- and agrees not to assert that any such proceeding has been instituted in an inconvenient forum or that any such court lacks jurisdiction over the Genuine Customer.
The products and services offered on this website and by MN IT Services LLC are available for sale exclusively OUTSIDE of Saint Vincent and the Grenadines. Persons accessing the Website and/or using the MN IT Services LLC service from abroad do so entirely at their own risk. MN IT Services LLC disclaims any responsibility in connection with the use of the Website and the MN IT Services LLC Service outside St. Vincent and the Grenadines. In particular, it is the responsibility of each foreign user to determine whether the services and products offered by MN IT Services LLC may be used in accordance with the laws in force in the user’s country of residence or domicile, or in accordance with the laws of the user’s country of residence.
Users residing in the following jurisdictions are excluded from using the services and products offered by MN IT Services LLC: United States, Canada, Australia, U.S. Outlying Islands, North Korea, Iran, Saint Vincent and the Grenadines, Venezuela, Cuba, Albania, Burkina Faso, Cambodia, Haiti, Jamaica, Jordan, Lybia, Mali, Morocco, Myanmar, Nicaragua, Pakistan, Philippines, Russia, Senegal, South Sudan, Syria, Somalia, Uganda, Yemen.
No advice for the purchase of crypto currencies
MN IT Services LLC expressly states that no investment advisory services are provided on its part. In no event shall the information provided on the Website be construed as advice or recommendations to buy or sell any particular cryptocurrency or to effect any transaction; nor shall the information provided be construed as advice of any other nature, such as tax or legal. MN IT Services LLC does not recommend Bitcoin or any other cryptocurrency in any way.
All investment decisions that clients make are based solely on their own assessment of their financial situation and investment objectives. They bear sole responsibility for such decisions. DFX provides its services solely at the express, independent request of the customer, without verifying the customer’s financial situation, technical understanding, suitability or appropriateness of the investment.
Investments and investments in cryptocurrencies presented on the Website or through the MN IT Services LLC Service are speculative and involve significant risks. These may be economic as well as human and technical in origin. Cryptocurrencies are subject to significant volatility. The price of cryptocurrencies may fall as well as rise. The future performance of cryptocurrencies cannot be guaranteed by past performance. Therefore, it is possible that the invested amount may not be recovered and instead may be lost altogether. By using MN IT Services LLC’s services, clients acknowledge that Bitcoin, Ether, DFI or other cryptocurrencies are experimental, alternative currencies currently under development and that their performance is unpredictable. We strongly recommend that customers seek professional advice before making any investment decisions.
By accepting the GTC’s, the customer declares to have been informed about the above risks, to have understood them and to be aware of their implications. The customer declares that he himself is the beneficial owner of the assets to be traded and the desired recipient address and that he can freely dispose of them.
DFX shall not be liable for any indirect or direct loss or damage of any kind that may arise from accessing the Website, the MN IT Services LLC service via wallets such as the DFX Wallet or other wallets, or from downloading information, data and documents from the Website or using the MN IT Services LLC service, from staking or from the inability to access or use the information or services available on the Website. In particular, it is expressly stated that MN IT Services LLC, shall in no event be liable for any loss or damage caused by technical or other errors, transmission failures, system overloads, usage problems, interruptions of services (including but not limited to system maintenance services), delays in the transmission of information, incompatibility between the Website and your files and/or software (including but not limited to your browser) and/or your computer, malfunctions, interference, the transmission of a virus to your computer, unauthorized access (such as. e.g., through hacking or piracy), the intentional blocking of telecommunications tools or networks (e.g., through mail bombing, denial of service attacks), or other failures or inadequacies on the part of telecommunications or network service providers. Customers acknowledge and agree that the Services are provided by MN IT Services LLC on an “as is” and “as available” basis.
Furthermore, MN IT Services LLC disclaims any liability in connection with the functionalities of the services of MN IT Services LLC that were not created or are not operated by MN IT Services LLC itself. It is explicitly pointed out that MN IT Services LLC offers its service on an open source software (=publicly available software), the functions of which are neither programmed nor controlled nor operated by MN IT Services LLC. In particular, MN IT Services LLC does not operate any wallets or related licenses, but only provides the code (software) to execute its services, therefore MN IT Services LLC fully disclaims any liability related thereto, of which the Customer explicitly acknowledges.
Furthermore, the Customers hereby explicitly acknowledge that MN IT Services LLC exclusively sends the tokens back and forth between protocols on behalf of the Customers (buying and selling – crypto-crypto business of MN IT Services LLC) and excludes any liability beyond that. After successful transaction by MN IT Services LLC into the customer’s wallet, the customer interacts only with the code of the corresponding blockchain, over which MN IT Services LLC has no influence. MN IT Services LLC explicitly points out that it has no responsibility for desired transactions outside its sphere of influence. DFX is also not involved in the creation of the tokens.
The Customers are solely responsible and liable to declare, bear and pay all taxes, duties, imposts, levies, tariffs and surcharges that might be imposed by the laws and regulations of any jurisdiction as a result of or in connection with the use of services, website, platform or any other Company product. Company is not giving any advice regarding tax issues and is not responsible for determining any tax implications connected with its Services, Website, Platform. Company makes no representation as to the tax implication of any jurisdiction. You shall be solely liable for all such penalties, claims, fines, punishments, liabilities or otherwise arising from his/her underpayment, undue payment or belated payment of any applicable tax.
MN IT Services LLC cannot guarantee the amount or timing of any payouts of Staking Rewards; the payout or transfer of Staking Rewards is done exclusively through the Blockchain protocol and is subject exclusively to its rules and procedures. Customers are aware that MN IT Services LLC is neither responsible for nor in charge of the management of the Blockchain associated with the respective cryptocurrency.
The activation of certain links on the Website or at the MN IT Services LLC Service available in combination with a Wallet that the Website or the MN IT Services LLC Service, respectively, is left. MN IT Services LLC does not review any of these linked websites and does not warrant or guarantee, expressly or impliedly, the quality, relevance, accuracy, completeness, availability, correctness, update status or legality of the content of such websites, nor is MN IT Services LLC responsible in any way for the products, services, information and other content offered through these linked websites. The same applies to websites that provide links to the MN IT Services LLC website.
Confidentiality and Encryption
Please note that the data exchanged between the respective Customer and MN IT Services LLC is transferred over open, public networks (e.g. the Internet), which are not subject to any control or verification on the part of MN IT Services LLC. The transferred data may be transferred across borders, even if both the Customer and MN IT Services LLC are located in St. Vincent and the Grenadines. Customer data from the Know-Your-Customer (KYC) process is transferred by third parties and MN IT Services LLC because MN IT Services LLC purchases identification/KYC services from third parties, to which the user must consent. Furthermore, even if the transmitted data is encrypted, it is not guaranteed that it will necessarily remain encrypted for the entire duration of the transmission, nor that it will remain encrypted on the customer’s side. It is possible that data may be intercepted. In addition, Customers hereby acknowledge that they understand that applicable laws in your country may prohibit or restrict the import, export, or use of encryption algorithms. MN IT Services LLC shall in no event be responsible for any violation of measures regulating the import, export or use of encryption algorithms. In the event of such a violation, Customers are solely responsible.
Confidentiality of User Data
Customers are required to keep user IDs, passwords and other means of identification such as blockchain addresses secret. To this end, they must not store your user IDs, passwords or other means of identification such as blockchain addresses unencrypted in your browser and they must delete all temporary files stored in your cache memory and your browsing history. Customers are solely responsible if such means of identification are disclosed to third parties, discovered or misused. Likewise, they are solely responsible for any resulting losses and damages.
Proper Use of Website
Customers agree not to misuse or use the Website or the MN IT Services LLC Service in any way that could, for example, overload the Website, delay the transmission of information, interrupt the service, block access to the Website, or cause any other harmful effects to MN IT Services LLC or the users of the Website or the MN IT Services LLC Service. In particular, it is prohibited to: carry out e-mail bombing or a denial of service attack (in particular flooding) or make a similar attempt to infect the Website or the MN IT Services LLC Service with a virus, worm, Trojan horse or other software or make a similar attempt to gain unauthorized access to the servers that manage the Website or the MN IT Services LLC Service or attempt to do so; circumvent or disable or attempt to disable the security functions of the Website or the MN IT Services LLC Service respectively. attempt to do so (hacking); update the information provided on the Site or the MN IT Services LLC Service using automatic updating programs, such as those provided by other websites; or use offline readers or similar software, including, without limitation, in a manner that enables a mass download of data from the Site or the MN IT Services LLC Service to your hard drive. DFX reserves the right to deny access to the Site and the MN IT Services LLC Service to any such Customer, even if such Customer is a registered MN IT Services LLC Customer, in the event of such improper use of the Site or the MN IT Services LLC Service.
Handling of Customer-related Data
Customers acknowledge that MN IT Services LLC may record and analyze all of its customers’ actions on MN IT Services LLC-owned website, APIs, applications, and other direct marketing campaigns for purposes of security, system monitoring, administration, marketing, and compliance with legal and regulatory requirements.
MN IT Services LLC will retain this information under appropriate security conditions for a limited period of time. MN IT Services LLC will not disclose personal information to third parties unless MN IT Services LLC is required to do so by law and/or regulation. Customer expressly acknowledges that the technical infrastructure for collecting and storing the Personal Data is provided by a third party located outside of Saint Vincent and the Grenadines. Customer agrees that the Personal Data will be stored by MN IT Services LLC, but on servers located outside the Saint Vincent and the Grenadines and that such data is collected by the KYC service provider DFX AG in Switzerland only for verification purposes. Personal Data of customers remains at MN IT Services LLC. The KYC service provider DFX AG has integrated the 3rd party provider IDnow for the Online-Identification service which is an essential part of the KYC process that DFX AG provides to MN IT Services LLC.
In addition, Customer acknowledges and thereby expressly agrees that this third party may be changed by MN IT Services LLC at any time and therefore the jurisdiction in which the personal data is collected and stored may also change at any time.
MN IT Services LLC’s technical support may be provided by a third party contracted by MN IT Services LLC. When support is used, the personal data – such as username, first and last name, email address, phone number, IP address and payment information of the customers – is transmitted to this third party support service provider for verification.
In addition, in order to provide straightforward customer support, volunteer support staff have access to a certain part of the database (so-called transaction data). This data relates to the users’ transactions and includes transaction ID, user ID, amount of the respective transaction, reference code, blockchain address as well as the corresponding transaction information including the transaction confirmation with the transaction details. The first name, last name and other personal data are not part of this data. Furthermore, no conclusions can be drawn from this data to the first and last name as well as to other personal data.
The authentication of identification documents submitted by customers as part of the registration process (KYC = Know-Your-Customer) is carried out by a specialized external company outside St. Vincent and the Grenadines. Consequently, this company has access to (exclusively) these documents.
Other necessary external providers outside St. Vincent and the Grenadines may also have access to your data as part of the maintenance and management of current processes, product and service offerings, and the MN IT Services LLC user base. In such cases where the use of an outside vendor or service is required, MN IT Services LLC will ensure that the outside vendor exercises the same level of vigilance with respect to privacy and data security as MN IT Services LLC does. Your data and/or contact information will not be sold in any way by MN IT Services LLC.
Upon express request, fully verified DFX AG users may have their personal KYC data transferred to MN IT Services LLC in order to use MN IT Services LLC services without re-verification.
The Staking balances of the individual customers of MN IT Services LLC can be viewed publicly at any time in an anonymized form by means of blockchain addresses due to the publicly viewable blockchain. The name of the customer is not public, but the blockchain addresses are publicly viewable and the amount of Staking balances of a Blockchain address can be traced at MN IT Services LLC.
The customer acknowledges that the Staking Rewards history of any Blockchain address that is registered at MN IT Services LLC can be called via an public API. Furthermore, the customer acknowledges that information about his Staking Rewards are publicly available, however anonymized through his Blockchain address.
MN IT Services LLC offers diversification of Staking Rewards into different Blockchain protocols and Cryptocurrencies. The Staking Rewards are transferred via Blockchain transactions to Blockchain addresses of different providers and wallets. The customer acknowledges that these transactions are fully transparent, however pseudonymized cryptographic hashes. Therefore, the link between customer Blockchain addresses of MN IT Services LLC and external Blockchain addresses of this customer is public knowledge.
Before the financial services of MN IT Services LLC can be used, the Customer must register and verify itself. For this purpose, the Customer expressly agrees that MN IT Services LLC will commission the external service provider DFX AG to perform the customer verification (KYC).
Registration is free of charge and, after acknowledgement and acceptance of the current General Terms and Conditions, leads to the creation of a user profile, which is linked to the Customer’s non-custody wallet. MN IT Services LLC does not have access to the Customer Wallet, only the Customer does.
The Customers confirm that they undertake to pass the identification procedure and comply with the requirements provided by the AML / KYC procedures and requirements arising from the Money Laundering Act. The Customer confirms these conditions are clear to him and he agrees to them. The Company shall reserve the right to carry out additional verification procedures while entering into a business relationship with the User. Those include, but not limited to:
- Blockchain address
- Copy of identification document (ID card, passport or driver’s license), which must have a signature, legible MRZ code and photo
- Recent photograph of the customer
Complete and correct presentation and validation of these documents is required for staking at any time upon request of MN IT Services LLC without giving any reason.
The data provided must be complete and valid at all times. Changes in personal data and all data underlying the full KYC shall be notified by the Customers to MN IT Services LLC without delay.
MN IT Services LLC shall never ask customers for such customer-related information by email or telephone, and shall never disclose the password to third parties. Such requests are to be ignored and reported to MN IT Services LLC.
Customers are not authorized to allow others to access their account. They are responsible for all activities performed with their respective account.
The Customer must be at least 18 years old to use our services, product and website. By using our services, products and accessing our website you represent and warrant that you: (a) are at least 18 years old; (b) you have full power and authority to enter into this agreement (c) have not been previously suspended or removed from using our services (b) have not been placed on any of the sanctions lists, published and maintained by the United Nations, European Union, any EU country, UK Treasury and US Office of Foreign Assets Control (OFAC).
MN IT Services LLC may reject any registration without giving any reason, exclude any registered Customer – including in case of fraud, attempted fraud, forged securities or forged certificates – or refuse to execute any transaction.
MN IT Services LLC reserves the right to refuse any registration without giving any reason, as well as to exclude any registered customer and terminate the business relationship. This right exists explicitly if MN IT Services LLC determines in the course of its reviews that a Customer is on a FATF list (black or gray), has been convicted of or sanctioned for a criminal offense or in connection with an administrative proceeding, or criminal or administrative proceedings are pending against the Customer. Furthermore, MN IT Services LLC also reserves the right to terminate the business relationship if MN IT Services LLC would violate mandatory regulations, in particular those of St. Vincent and the Grenadines and international sanctions regulations, due to the business relationship with the Customer. Likewise, MN IT Services LLC reserves the right to refuse to execute a transaction in such cases.
Blocked customers are not allowed to re-register with MN IT Services LLC. If they do so, such users may be subject to criminal prosecution. Only natural persons or legal entities may register with MN IT Services LLC.
Natural persons must also be capable of acting (capable of judgement and at least 18 years old). Persons under the age of 18 may not register with MN IT Services LLC.
Each customer profile is unique, personal and non-transferable. The creation and use of multiple accounts by the same person is prohibited.
Customers may delete or deactivate their account at any time by submitting a request to MN IT Services LLC technical support. MN IT Services LLC is required to keep records of transactions for ten years. This period begins at the end of the execution of the transactions or, if more than one transaction forms a whole, at the end of the last transaction. Only after the expiration of this ten-year retention period will the account finally be deleted.
Condition for Staking of Cryptocurrencies
As soon as the number of Staking Tokens intended for the operation of the Staking Node is available, the Customer shall transfer these to a Wallet of MN IT Services intended for Staking.
There is a minimum amount of 1 DFI that can be deposited into the Staking service.
With the operation of a Staking node, transactions and other operations of the respective Blockchain protocol are validated. For this activity, Staking nodes may receive rewards (“Staking Rewards”) according to the rules of the respective underlying Blockchain protocol.
Customer shall remain the owner of the Staking Tokens during the provision of the Staking Services by MN IT Services LLC. Customer understands that Customer’s Staking Tokens must be held in MN IT Services LLC’s pooled wallet in order to process the contracted Staking Services. Customer acknowledges that MN IT Services LLC does not accept deposits from Customers or engage in regulated banking activities. Specifically, the Staking Stokens are not subject to deposit insurance and do not earn interest from MN IT Services LLC.
For the operation of a node on the DeFiChain, 20’011 DFi in the equivalent of at least USD 20’000.- are required. This is then the minimum amount needed to operate a Staking node.
In order to enable access to Staking for all customers, the Staking Tokens of several customers are held in the pool on a wallet of MN IT Services LLC. Once the minimum amount required for Staking is available on MN IT Services LLC’s pooled Wallet, MN IT Services LLC will execute the Staking Node on its own behalf, but for the account of the Customers.
MN IT Services advises that it may take up to seven business days for customers’ Staking Tokens to be transferred into the Staking.
Staking Rewards will be credited by DeFiChain to MN IT Services’ pooled wallet in each case as a result of the operation of the Staking node. MN IT Services shall transfer the Staking Rewards due to the Customer to the Customer’s non-custodial Wallet on a daily basis. Immediately after the completion of the Staking service ordered, MN IT Services shall transfer the Staking Tokens back to the Customer’s Wallet, to which MN IT Services does not have access. The period between the termination of the Staking Services and the deblocking of the DFI Tokens in the Wallet of MN IT Services shall be at least 16 hours. Only after these 16 hours have elapsed can MN IT Services transfer the Staking Tokens back to the respective Customer Wallet. MN IT Services agrees to maintain a settlement period of up to seven business days to withdraw Staking Tokens from MN IT Services’ Staking Service and transfer them back to the Customer Wallets.
Masternodes of the DeFiChain Protocol need up to two full days until they generate any Blockrewards. That’s why customers acknowledge that MN IT Services LLC has established two thresholds and users are credited with delayed Blockrewards after their DFI deposits, if these theresholds are exceeded:
- Deposits up to 20’000 DFI: Immediate Blockrewards are paid out
- Deposits between >20’000 DFI and 100’000 DFI: First Blockrewards are paid out 2 days after DFI deposit
- Deposits of more than >100’000 DFI: First Blockrewards are paid out 6 days after DFI deposit
A Customer may terminate the Staking of its Staking Tokens through its Wallet at any time.
MN IT Services LLC notes that a maximum Staking volume of 500,000 USD can be processed per day and per Customer. Exceptions may be considered and will be decided on an individual basis.
MN IT Services LLC points out that Staking can be started and stopped at any time subject to the above mentioned deadlines. There are 3 different payout mechanisms for the staking volume as well as for the staking rewards: Payout to Bank Account (available from Q2 2023), Payout to Wallet (available from Q1 2023), Re-investment of Staking Rewards. These setting can be selected and set before using the Staking offer (predefined at the start of the MN IT Services LLC Staking service is that 100% of the Staking Rewards will be automatically reinvested). A change in the payout mechanism can be set at any time in the future. Shown returns mirror the effective payouts in Rewards.
Authentication is always primarily done with the signature of the customer’s Private Key. If the Private Key gets lost, the Staking funds are lost as well. If the Private Key gets stolen, the Staking funds are stolen as well, since the Private Key is always the basis for withdrawals. MN IT Services LLC does NOT assume any liability for lost or stolen Private Keys of Customers.
MN IT Services LLC can change the Custody set-up of customer funds at any time without further notice in order to realize a more secure Custody model. MN IT Services LLC can also move the Custody of customer funds into a Multi-Sig set-up between MN IT Services LLC and other entities without further notice, in which MN IT Services LLC only holds a part of the Private Key and does not take care of the Custody completely itself.
Any LOCK user acknowledges that LOCK participates with ALL its Masternodes in the DeFiChain Voting Rounds, even though LOCK users are not participating in the DeFiChain voting rounds! LOCK considers any vote of any user with any amount of Staked DFI at LOCK.
The distribution of votes by considering the amount of staked DFI is assigned to all LOCK Masternodes that are then voting in the DeFiChain voting rounds.
APY’s or APR’s can be increased or decreased at any time by MN IT Services LLC without further notice, e.g. in case the Staking Rewards are getting lower on the DeFiCain protocol.
Rewards are paid out on a daily basis, however the Blockchain Transaction of the Rewards from LOCK into customer wallets is only executed, if the Reward asset exceeds $1 in value.
Condition for the Yield Machine – NO Reward Payouts currently
As soon as the number of Tokens intended to send into the Yield Machine is available, the Customer shall transfer these to a Wallet of MN IT Services LLC intended for the Yield Machine.
With the operation of the Yield Machine, Liquidity Mining Rewards are generated through the provision of Liquidity. Liquidity is always provided through Liquidity pairs on the DeFiChain protocol. Furthermore, the Yield Machine creates vaults to mint DUSD on which negative interests apply to generate returns. The source of Rewards can be changed anytime without further notice.
Customer shall remain the owner of the Tokens during the provision of the yield generation by MN IT Services LLC. Customer understands that Customer’s Tokens must be held in MN IT Services LLC’s pooled wallet in order to process the contracted yield generation services. Customer acknowledges that MN IT Services LLC does not accept deposits from Customers or engage in regulated banking activities. Specifically, the Tokens are not subject to deposit insurance and do not earn interest from MN IT Services LLC.
Currenty, the following Tokens can be deposited into the Yield Machine: DFI, DUSD, dBTC, dETH, dUSDT, dUSDC, dEUROC . Further Tokens may be added in future.
There is a minimum amount of 1 DFI, 1 DUSD, 1 dUSDT, 1 dUSDC and 0.0001 dETH as well as 0.0001 dBTC that can be deposited into this yield generation service.
Tokens of several customers are held in the pool on a wallet of MN IT Services LLC. MN IT Services LLC will execute this yield generation service on its own behalf, but for the account of the Customers.
MN IT Services advises that it may take up to seven business days for customers’ Tokens to be transferred into the Yield Machine.
Yield Machine Rewards will be credited by DeFiChain to MN IT Services’ pooled wallet in each case as a result of the operation of the Yield Machine through Liquidity Mining or Negative Interest Rates for DUSD loans. MN IT Services LLC shall reinvest the Yield Machine Rewards back into the Yield Machine on a daily basis by default. Immediately after the completion of the yield generation service ordered, MN IT Services LLC shall transfer the Tokens back to the Customer’s Wallet, to which MN IT Services does not have any access. MN IT Services LLC agrees to maintain a settlement period of up to seven business days to withdraw Tokens from the Yield Machine and transfer them back to the Customer Wallets.
A Customer may terminate the yield generation service of its Tokens through its Wallet at any time.
MN IT Services LLC notes that a maximum volume of 500,000 USD can be processed per day and per Customer. Exceptions may be considered and will be decided on an individual basis.
MN IT Services LLC points out that the yield generation service can be started and stopped at any time subject to the above mentioned deadlines. There are 3 different payout mechanisms for the rewards: Payout to Bank Account, Payout to Wallet, Re-investment of Rewards. This setting can be selected and set before using the YIELD MACHINE offer (predefined at the start of the MN IT Services LLC yield generation service is that 100% of the Yield Machine Rewards will be automatically reinvested). A change in the payout mechanism can be set at any time. Shown returns mirror the effective payouts in Rewards. Fees are deducted before (see below in section Fees).
Returns for users are generated for instance by Negative Interest Rates by taking out DUSD loans on the DeFiChain protocol or by providing liquidty into Liquidity Pools of a Decentralized Exchange (DEX) among others.
The customer acknowledges that an Impermanent Loss (IL) can occur, when the customers withdraw funds from the Yield Machine. MN IT Services LLC is not obligated to cover the Impermanent Loss of customers, but rather the customers themselves. If Impermanent Loss (IL) occurs, MN IT Services LLC may use generated Rewards through customer’s balances in order to cover the Impermanent Loss (IL). This action can be undertaken without further notice at any time.
Authentication is always primarily done with the signature of the customer’s Private Key. If the Private Key gets lost, the customer funds are lost as well. If the Private Key gets stolen, the customer funds are stolen as well, since the Private Key is always the basis for withdrawals. MN IT Services LLC does NOT assume any liability for lost or stolen Private Keys of Customers!
MN IT Services LLC can change the Custody set-up of customer funds at any time without further notice in order to realize a more secure Custody model. MN IT Services LLC can also move the Custody of customer funds into a cryptographic Multi-Signature set-up between MN IT Services LLC and other entities without further notice, in which MN IT Services LLC only holds a part of the Private Key and does not take care of the Custody completely itself.
APY’s and thus, APR’s, can be increased, decreased or set to 0 at any time by MN IT Services LLC without further notice, e.g. in case the Negative Interest Rates are getting lower on the DeFiCain protocol, the DeFiChain protocols generates less Rewards overall or the Impermanent Loss by doing Liquidity Mining is getting too high.
Rewards are paid out on a daily basis, however the Blockchain Transaction of the Rewards from LOCK into customer wallets is only executed, if the Reward asset exceeds $1 in value. This threshold in Reward value applies to each asset which is deposited into the Yield Machine.
MN IT Services LLC reserves the right to charge fees on Staking rewards from 2023 onwards.
The following fee structure for DFI Staking applies from January 1st, 2023 onwards:

Our fee structure applies to staking. MN IT Services LLC reserves the right to charge additional fees in the case of transfers using other payment systems. When using referral links, the fee structure changes (see section below). Percentages are calculated on actual transaction volume measured in DFI (Staking). A conversion of the transaction volume into USD can be made and in doing so, the volume would be converted into USD accordingly using the daily exchange rate (www.defichain.com/dex) in order to be able to determine the amount of the fees in USD.

MN IT Services LLC points out that the cryptocurrencies offered are on the DeFiChain blockchain. DeFiChain is a project in the Decentralized Finance (DeFi) business segment. Decentralized Finance is a novel construct where it is not yet fully clear what the legal and regulatory implications will be for users and businesses in this business area.
MN IT Services LLC always adheres to the current law of St. Vincent and the Grenadines and is in constant communication with the authorities to implement this. MN IT Services LLC reserves the right to suspend trading of individual cryptocurrencies at any time, or to add additional cryptocurrencies or products to its offering. Customers of the MN IT Services LLC service are not entitled to trade cryptocurrencies if they have previously been suspended from trading. This also applies if these cryptocurrencies have been previously purchased through the MN IT Services LLC Service.
Furthermore, cryptocurrencies that originate from the Decentralized Finance construct, e.g. by trading on a Decentralized Exchange (DEX) or by an exchange through an Atomic Swap, may be declared as Coins with increased risk and may be treated differently in the future than Coins that have not been in such DeFi protocols. MN IT Services LLC has no control over how the DeFi market will be regulated in the future and what consequences may arise from the use of DeFi protocols for users in the future. MN IT Services LLC cannot guarantee to continue operating the service at all times, nor can MN IT Services LLC guarantee to take back sold Coins if the regulatory environment changes. This also applies to cryptocurrencies used for staking. Staked cryptocurrencies basically experience the same fate as the cryptocurrencies used for this purpose per se.
Limitation of liability
The Company, as well as its officers, directors, agents, joint ventures, employees, suppliers and advisors, assumes no liability or responsibility for any loss raised, arising out of or related to the use of the MN IT Services LLC platform or any technical, interruption or malfunction of the MN IT Services LLC platform, website, token, services or otherwise. In no event shall MN IT Services LLC, as well as its officers, directors, agents, joint ventures, employees, suppliers and advisors, be liable for any special, indirect, incidental, punitive or consequential damages of any kind whatsoever, including without limitation any damages caused by or resuming from reliance by any user or any information obtained from the Company, or that result from mistakes, omissions, interruptions, deletion of files or email, errors, defects, viruses, delays in operation or transmission or any failure of performance, whether or not resulting from a force majeure event, suspension of network communication failure, theft, destruction or unauthorized access to company’s records, services, website. In addition to the above, the company shall not be liable for any loss of profit, loss of business, trading losses, loss in value, or any other loss. This applies even if such damages are foreseeable.
The limitation of liability set out above shall not be applicable in the event that the Company, or the Company employee, has caused the damage by intentional misconduct or by gross negligence.
Risks associated with Staking
Staking or the operation of a Staking Node depends on the underlying Blockchain, its availability, rules, validation mechanism and procedures and is beyond the control of MN IT Services LLC.
MN IT Services LLC cannot guarantee the amount or timing of any Staking Rewards payouts; the distribution or transfer of Staking Rewards will occur solely through the Blockchain protocol and will be subject to its rules and procedures. Client understands that MN IT Services LLC is not responsible for, nor has any responsibility for, the management or operation of the underlying Blockchain.
Customer acknowledges that Staking is highly complex and involves the risk that a loss of all or a portion of the Staking Tokens may occur. The Staking Tokens are particularly exposed to slashing, security vulnerabilities, software errors and hacks. The Customer has informed itself in advance about the risks associated with Staking.
Partial Invalidity and Choice of Law
Should any clause of the General Terms and Conditions be void, annulled or otherwise invalid, the validity of the remaining General Terms and Conditions shall not be affected or impaired thereby.
Applicable Law and Place of Jurisdiction
The Terms and Conditions shall be governed by and construed in accordance with the laws of Saint Vincent and the Grenadines, excluding the conflict of laws provisions of Saint Vincent and the Grenadines or Customer’s actual country or state of residence. Any disputes arising out of or relating to the Terms and Conditions, Customer’s relationship with MN IT Services LLC, including non-contractual obligations, shall be subject exclusively to the jurisdiction of the courts of Saint Vincent and the Grenadines.
